Covington Development Council (CDC)

The Covington Development Council (Covington DC) is a Community Improvement Corporation as defined under ORC 1724 and organized under ORC 1702.

The organization was originally incorporated as the Covington-Area Improvement Corporation in 1966 for the general purpose of supporting development in and around the Village of Covington and Newberry Township.

Purpose: 
The CDC was and is formed for the purpose of advancing, encouraging, and promoting the industrial, economic, commercial, and civic development of the Village of Covington, Miami County, Ohio and in furtherance, thereof, to have all the powers granted a corporation not for profit that is a community improvement corporation under Chapter 1702 and 1724 of the Ohio Revised Code, as such now exist or as the same may be amended from time to time.

What Can the Covington DC do?:
The Covington DC has many potential powers established by the Ohio Revised Code, including:

  • The ability to borrow money for any purpose of the corporation;
  • Acquire, convey, dispose of, hold, lease, purchase, recieve, sell, sublease, and/or transfer real and personal property;
  • Acquire associations, business, corporations, firms, good will, joint stock companies, other assets of any persons, partnerships, real and personal property, rights, and trusts
  • To acquire improved or unimproved real estate for the purpose of constructing industrial plants or other business establishments thereon or for the purpose of disposing of such real estate to others in whole or in part for the construction of industrial plants or other business establishments;
  • To do all acts and things necessary or convenient to carry out the powers especially created in Chapter 1724 of the Revised Code
  • To serve as an agent for grant applications and for the administration of grants.

Membership:
The Covington DC Board of Trustees has five current members, including the Mayor, President of Village Council, Village Administrator, Village Fiscal Officer, and at least one other voting member.  Trustees serve five year terms.

Appointment:
Not less than 2/5 of the Board of Trustees shall be composed of appointed or elected officials of the Village of Covington.  If an additional member or members are added one or more Village Council members will be required to be appointed to the Board to keep 2/5 of the overall Board as elected officials of the Village of Covington.

Meetings:
The Covington DC meets annually and has special meetings as needed.
